（1）It seems to me that she complains of a headache. 

（2）It seems to be true that we are the same age. 

这两句在表意上是完全不同的。所以这是两种不同的结构。比较一下：

前句描述：她似乎总是抱怨头痛。（seems 针对 that 从句中的 complains）

后句描述：我们同龄似乎是真的。（seems 针对 表语 true）

一、句（1）to me 可以不用，也可以提到句首。

（To me）It seems that she complains of a headache. 

这样处理后，It seems that she complains of a headache. 的结构应该很清楚了。it 实际是“虚指 it”，它没有词汇意义，也不是形式主语。it 的语法作用在于，它弥补了句子成分的空缺，而让句子完整。这时，that 从句为 seems 的表语从句。that 的作用实际就是as if，我们用 as if 替换 that，即可证明是表语从句。

二、句（2）由于seem 是系动词，后面直接跟true 或 to be true，都正确：

It seems (to be) true that we are the same age. 

这个句子的结构跟句（1）不同，表意也截然不同。很明显，that we are the same age 是主语从句，是真正主语，it 是形式主语。无论英语还是汉语，通过句子意思就可以反映出来：

我们是同龄人（主语）    似乎是（系动词）     真的（表语）。
